Please read these terms carefully before engaging our services. By working with Gem Social Media, you agree to be bound by the following terms and conditions.
1. About us
Gem Social Media is operated by Nayeli Sanchez Flores, a social media management professional based in Playa del Carmen, Mexico. We provide done-for-you social media management services for coaches, speakers, and entrepreneurs.
2. Services
Our services may include, but are not limited to, social media strategy, content creation, short-form video production, caption writing, scheduling, community management, and reporting. The specific scope of services for each client is defined in the relevant proposal or service agreement.
We reserve the right to decline or discontinue any project at our discretion.
3. Proposals and agreements
All services are initiated through a written proposal or service agreement. Acceptance of a proposal (verbally, in writing, or by making a payment) constitutes your agreement to these Terms of Service as well as any terms specific to your package.
4. Payment terms
Invoices are issued in accordance with the agreed payment schedule in your proposal.
Payments are due within the timeframe specified on each invoice (typically 7 days unless otherwise agreed).
We accept payment via bank transfer, Stripe, or other methods specified in your invoice.
Late payments may result in a pause of services until the outstanding balance is settled.
All fees are exclusive of any taxes applicable in your jurisdiction.
5. Refund policy
Due to the nature of our services (time and deliverables-based), we do not offer refunds on work that has already been completed or initiated. If you are dissatisfied with our work, please contact us to discuss a resolution. Any exceptions to this policy are at our sole discretion.
6. Client responsibilities
To allow us to deliver our services effectively, clients are responsible for:
Providing timely feedback, approvals, and any materials requested (brand assets, login credentials, etc.)
Ensuring all content provided to us does not infringe on any third-party intellectual property rights
Maintaining accurate and current billing information
Notifying us promptly of any changes relevant to the project
Delays caused by the client's failure to meet these responsibilities do not entitle the client to a refund or extension of deadlines at no additional cost.
7. Intellectual property
Upon receipt of full payment, all content created specifically for your brand (graphics, captions, videos, etc.) becomes your property. We retain the right to display this work in our portfolio and case studies unless you request otherwise in writing.
Any tools, templates, systems, or processes we use to deliver our services remain the intellectual property of Gem Social Media.
8. Confidentiality
We treat all client information, including business strategy, branding, and account access, as strictly confidential. We will not disclose your information to third parties except as necessary to deliver our services or as required by law.
We ask that clients similarly treat any proprietary processes, pricing, or internal documentation shared by Gem Social Media as confidential.
9. Account access
Where clients grant us access to their social media accounts, they confirm they have the authority to do so. We will access these accounts solely for the purpose of delivering the agreed services. Clients may revoke access at any time; however, this may affect our ability to continue providing services.
10. Results and performance
Social media results are influenced by many factors outside our control, including platform algorithm changes, industry trends, and audience behaviour. We do not guarantee specific results such as follower counts, engagement rates, or revenue outcomes. We commit to delivering high-quality work and industry-standard best practices.
11. Limitation of liability
To the fullest extent permitted by applicable law, Gem Social Media shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability to any client shall not exceed the total fees paid by that client in the three months preceding the claim.
12. Termination
Either party may terminate the working relationship with written notice as specified in the relevant service agreement. Upon termination:
All outstanding invoices become immediately due and payable
We will provide any completed deliverables to the client
Account access will be returned or revoked as appropriate
13. Governing law
These terms are governed by the laws of Mexico. Any disputes arising from these terms or our services shall be resolved in the appropriate courts of Quintana Roo, Mexico, unless otherwise agreed in writing.
14. Changes to these terms
We may update these Terms of Service periodically. Continued use of our services following any changes constitutes your acceptance of the updated terms. We will notify existing clients of significant changes.
